Terms and Conditions of Service
Med-Stop websites, applications, and services are provided by Med-Stop Inc. ("Med-Stop," "we," "us," or "our") subject to these Terms and Conditions of Service ("Terms"). These Terms apply to your access to and use of Med-Stop websites, the Med-Stop App, online tools, support services, and related services collectively referred to as the "Services."
By accessing or using the Services, creating an account, accepting an online agreement, submitting an order, or otherwise using any Med-Stop service, you agree to be bound by these Terms. If you are using the Services on behalf of an employer, company, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms. In that case, "you" and "your" refer to both you and the entity you represent.
If you do not agree to these Terms, or if you do not have authority to bind the entity you represent, you must not access or use the Services.
These Terms may be supplemented by additional agreements, service forms, employer agreements, account documents, pricing terms, HIPAA or privacy documents, or other written terms accepted by you or your organization. If there is a conflict between these general website Terms and a separate signed agreement with Med-Stop, the signed agreement will control for the services covered by that agreement.
Med-Stop may update these Terms from time to time. The current version will be made available on the Med-Stop website or within the Med-Stop App. We may also provide notice through the Med-Stop App, by email, by fax, or by other reasonable means.
Your continued use of the Services after updated Terms become effective means that you accept the updated Terms. If you do not agree to the updated Terms, you must stop using the Services and, where applicable, terminate your account or service agreement.
Med-Stop provides a web-based application known as the Med-Stop App, an online management system for drug, alcohol, occupational medical testing, employee test data, compliance management, laboratory result processing, Medical Review Officer services, and random selection programs.
The Services may include online account access, employee and employer records, testing documentation, test request management, random selection tools, reporting tools, testing site search, result management, alerts, notices, support services, and other related functionality.
The availability and scope of the Services may depend on your account type, service plan, signed agreement, user permissions, third-party provider availability, and applicable legal or regulatory requirements.
Unless Med-Stop expressly agrees otherwise in a separate written agreement, Med-Stop is not acting as your DOT Third-Party Administrator, Consortium, employer representative, compliance officer, legal advisor, or regulatory consultant. The Med-Stop App is an online service made available for employers and authorized users to manage information and workflow.
You remain solely responsible for your own compliance with all applicable federal, state, local, DOT, FMCSA, FAA, FRA, FTA, PHMSA, USCG, workplace safety, employment, privacy, health, and testing requirements. Med-Stop cannot guarantee that your use of the Services will satisfy all compliance obligations applicable to your organization.
You are responsible for reviewing your records, maintaining required documentation, meeting required deadlines, making required reports, ensuring employee notices and consents are obtained where required, and confirming that your testing programs are properly administered.
Some areas of the Med-Stop website may be available without registration. Access to the Med-Stop App and many Med-Stop tools requires registration, account approval, or authorization by an employer or account administrator.
You agree to provide accurate, complete, and current information when registering or using the Services. You are responsible for maintaining and updating account information, contact information, billing information, employer information, employee information, and other data submitted through the Services.
You are responsible for all activity that occurs under your account, user name, password, API key, or other access credentials. You must take reasonable steps to protect your login credentials and prevent unauthorized access. You must promptly notify Med-Stop if you believe your account, password, API key, or other access credential has been lost, stolen, compromised, or used without authorization.
Med-Stop may suspend, restrict, or terminate access if we believe an account has been compromised, used without authorization, used in violation of these Terms, or used in a way that may create security, legal, operational, or compliance risk.
Subject to these Terms and any applicable agreement, Med-Stop grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to access and use the Services for your internal business or authorized compliance management purposes.
You may use the Services only for lawful purposes and only in accordance with these Terms, applicable agreements, documentation, user permissions, and applicable laws and regulations.
You may not use the Services on behalf of another employer, company, organization, or third party unless you are expressly authorized to do so and your account is configured for that purpose. Access rights are granted based on employer, organization, user role, subscription, and service authorization.
You agree not to misuse the Services. You may not directly or indirectly:
You are responsible for all data, records, documents, employee information, employer information, testing information, medical information, billing information, communications, and other content that you enter, upload, submit, transmit, approve, retrieve, or otherwise process through the Services.
You represent that you have the legal right and authority to submit, access, use, and disclose all information you provide through the Services. You are responsible for obtaining any required employee notices, consents, authorizations, releases, or other permissions required by applicable law or policy.
Med-Stop does not independently verify all information submitted by users, employers, laboratories, collectors, service agents, or other third parties. You are responsible for reviewing information for accuracy, completeness, authorization, and compliance before relying on it.
Personal information submitted through the Services is handled in accordance with the Med-Stop Privacy Policy and, where applicable, HIPAA-related documents, business associate terms, service agreements, or other applicable privacy and security requirements.
The Services may be used to manage drug, alcohol, occupational medical, and related testing records. You are responsible for confirming that testing requests, donor information, employee information, employer information, test reason, test type, DOT or non-DOT status, CDL information where required, collection documentation, result documentation, and related records are accurate and complete.
Certain test results, including some alcohol testing documentation, may depend on physical documents, images, faxes, laboratory systems, Medical Review Officer review, collector action, third-party systems, or other processes outside Med-Stop's direct control. You are responsible for ensuring that required documentation is obtained, reviewed, retained, and used in compliance with applicable requirements.
The Services are not a substitute for your own compliance review, legal review, recordkeeping obligations, or required written documentation where such documentation is required by law, regulation, contract, or policy.
The Services may depend on or connect with third-party providers, including laboratories, collection sites, Medical Review Officers, payment processors, communications providers, identity or security providers, hosting providers, analytics providers, mapping or location providers, and other service providers.
Med-Stop is not responsible for delays, errors, outages, failures, incomplete information, or unavailability caused by third-party services, third-party systems, government systems, laboratories, collection sites, communication networks, payment systems, or other providers outside Med-Stop's reasonable control.
If you configure, request, or authorize a connection between Med-Stop and another system or outside service, you are responsible for the authorization, security, configuration, accuracy, and legality of that connection and for the use of data transmitted to or from that outside service.
You consent to receive communications from Med-Stop electronically, by fax, through the Med-Stop App, through website notices, by email, by text message where applicable, by support message, or by other reasonable communication methods.
You agree that notices, alerts, test results, agreements, disclosures, billing notices, statements, system messages, support messages, and other communications sent electronically or by fax may satisfy legal communication requirements to the same extent as written communications, unless otherwise required by applicable law.
You are responsible for maintaining accurate contact information and monitoring communications sent by Med-Stop.
Some Med-Stop Services require payment. You agree to pay all charges resulting from your account, your organization's account, or your use of the Services at the prices then in effect, including charges incurred by authorized users and charges incurred before you notify Med-Stop of unauthorized use.
All charges are exclusive of applicable taxes unless stated otherwise. You are responsible for payment of any applicable federal, state, local, city, sales, use, or similar taxes, except taxes based on Med-Stop's income.
If you provide a credit card or other payment method, you represent that you are authorized to provide that payment method and authorize Med-Stop or its payment processor to charge it for amounts due. You agree to keep payment information accurate and current.
You must notify Med-Stop of any disputed charge in good faith and provide supporting documentation within a reasonable time. You agree to work with Med-Stop to resolve billing disputes before initiating a chargeback or payment reversal.
If amounts owed to Med-Stop are not paid when due, Med-Stop may notify you of the delinquency and may suspend or terminate access to the Services if payment is not received. Unless a separate written agreement states otherwise, access may be suspended or terminated if undisputed past-due amounts remain unpaid for more than twenty-eight (28) days.
You are responsible for all collection costs, including reasonable attorneys' fees, accounting fees, court costs, and other expenses incurred by Med-Stop in collecting unpaid amounts to the extent permitted by law.
Unless Med-Stop expressly agrees otherwise in writing or unless required by applicable law, fees and charges paid to Med-Stop are non-refundable. Termination, cancellation, suspension, non-use, or discontinued use of the Services does not relieve you of responsibility for amounts already incurred or owed.
Each party may receive confidential information from the other party in connection with the Services. Confidential information may include employer data, employee data, testing information, health information, business practices, pricing, financial information, technical information, system information, and other non-public information.
Each party agrees to use reasonable care to protect the other party's confidential information and not to disclose it to third parties except as authorized, as necessary to provide or use the Services, or as required by law, regulation, court order, subpoena, government request, or other legal process.
Med-Stop will handle personal information and protected health information in accordance with applicable privacy and security laws, the Med-Stop Privacy Policy, and any applicable written agreement between you and Med-Stop.
Med-Stop uses reasonable administrative, technical, and physical safeguards designed to protect data against unauthorized access, disclosure, alteration, and destruction.
You are responsible for maintaining appropriate administrative, technical, and physical safeguards within your own organization, including user access controls, employee training, workstation security, account management, password security, and internal procedures for protecting personal information and protected health information.
You must notify Med-Stop without unreasonable delay if you become aware of unauthorized access, disclosure, loss, misuse, or suspected compromise involving Med-Stop systems, Med-Stop credentials, Med-Stop data, or information transmitted through the Services.
Where applicable, Med-Stop will handle protected health information in accordance with HIPAA and applicable privacy and security requirements. Depending on the service, relationship, and applicable law, Med-Stop may act as a business associate or may process health-related information under other legal, regulatory, or contractual requirements.
You are responsible for determining your own obligations under HIPAA and other applicable privacy laws and for ensuring that your use of the Services complies with those obligations.
If a separate Business Associate Agreement or HIPAA addendum is required and accepted by Med-Stop, that agreement or addendum will control with respect to protected health information covered by that agreement.
Med-Stop may collect and analyze technical, operational, diagnostic, usage, performance, and security information related to the Services. Med-Stop may use this information to operate, maintain, secure, support, troubleshoot, improve, and develop the Services.
Med-Stop may use aggregated or de-identified information for lawful business purposes, including analytics, service improvement, reporting, development, diagnostics, and security. Aggregated or de-identified information will not identify an individual or employer where used for these purposes.
The Services, including the Med-Stop App, websites, software, workflows, databases, designs, text, graphics, logos, icons, documentation, content, interfaces, and related technology, are owned by Med-Stop, its licensors, or its service providers and are protected by copyright, trademark, trade secret, patent, and other applicable laws.
Except for the limited right to use the Services granted under these Terms, no rights are transferred to you. All rights not expressly granted are reserved by Med-Stop and its licensors.
You may not use Med-Stop names, trademarks, service marks, logos, or branding in advertising, publicity, endorsements, or other materials without Med-Stop's prior written permission.
If you provide Med-Stop with feedback, comments, ideas, improvements, requests, or suggestions related to the Services, you agree that Med-Stop may use them without restriction, attribution, or compensation to you. Med-Stop is not obligated to use, maintain, or treat such feedback as confidential unless separately agreed in writing.
Med-Stop websites and Services may contain links to third-party websites or services. Med-Stop is not responsible for the content, privacy practices, security practices, terms of use, availability, accuracy, or operation of third-party websites or services.
When you leave a Med-Stop website or access a third-party service, you are responsible for reviewing that third party's terms and privacy policy.
Med-Stop may modify, suspend, restrict, discontinue, or replace all or part of the Services at any time. Med-Stop may also perform maintenance, updates, security changes, or operational changes that affect access to the Services.
Med-Stop is not liable for any modification, suspension, interruption, restriction, or discontinuance of the Services, except to the extent expressly required by a separate written agreement or applicable law.
You may terminate your account or service agreement as allowed by your applicable agreement or service terms. Unless otherwise stated in a separate written agreement, you may request termination through the Med-Stop App support form, by contacting Med-Stop support, or by other accepted written communication method.
Termination does not relieve you of responsibility for fees, charges, obligations, or liabilities incurred before termination.
Med-Stop may suspend or terminate your access to the Services, with or without notice, if Med-Stop believes that you have violated these Terms, failed to pay amounts owed, created security or compliance risk, misused the Services, provided inaccurate or unauthorized information, violated applicable law, or used the Services in a way that may harm Med-Stop, other users, third-party providers, or the integrity of the Services.
Upon termination, your right to access and use the Services will end. Data associated with your account may be retained, deleted, archived, or made unavailable in accordance with applicable law, record retention requirements, Med-Stop policies, and any applicable written agreement.
Your use of the Services is at your own risk. The Services are provided on an "as is" and "as available" basis, except as expressly stated in a separate written agreement.
To the fullest extent permitted by law, Med-Stop disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, availability, uninterrupted operation, error-free operation, and freedom from viruses or harmful components.
Med-Stop does not warrant that the Services will meet all of your requirements, that all errors will be corrected, that the Services will be uninterrupted or secure at all times, or that information available through the Services will always be accurate, complete, current, or suitable for your particular purpose.
Med-Stop does not control and is not responsible for the accuracy, completeness, timing, availability, or performance of third-party data, third-party systems, laboratories, collection sites, communication providers, payment processors, government systems, or other outside services.
To the fullest extent permitted by law, Med-Stop, its officers, directors, employees, agents, licensors, service providers, suppliers, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or similar damages, including loss of profits, loss of revenue, loss of goodwill, loss of use, loss of data, work stoppage, business interruption, cost of substitute services, device failure, technology failure, or other intangible losses arising out of or related to the Services.
This limitation applies whether the claim is based on contract, tort, negligence, strict liability, warranty, statute, or any other legal theory, even if Med-Stop has been advised of the possibility of such damages and even if a remedy fails of its essential purpose.
To the fullest extent permitted by law, Med-Stop's total liability for any claim arising out of or related to the Services will not exceed the amounts paid by you to Med-Stop for the Services giving rise to the claim during the twelve (12) months before the event giving rise to the claim, unless a different limitation is stated in a separate written agreement.
You agree to defend, indemnify, and hold harmless Med-Stop, its officers, directors, employees, agents, licensors, service providers, suppliers, and affiliates from and against any claims, actions, demands, liabilities, damages, losses, settlements, costs, and expenses, including reasonable legal and accounting fees, arising out of or related to:
You agree to comply with applicable United States export control, sanctions, and restricted-party laws and regulations. You may not access, use, export, re-export, or transfer the Services in violation of such laws or regulations.
You represent that you and the organization you represent are not prohibited from receiving the Services under applicable United States law.
To the fullest extent permitted by law, you and Med-Stop agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.
Unless both you and Med-Stop agree otherwise in writing, no claim may be joined or consolidated with the claim of another person or entity.
These Terms and any dispute arising out of or relating to these Terms, the Med-Stop websites, the Med-Stop App, or the Services will be governed by and construed in accordance with the laws of the State of Illinois, without regard to conflict of law principles.
Except where otherwise required by applicable law or a separate written agreement, any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in the State of Illinois, and you consent to the jurisdiction and venue of those courts.
The Services are intended for access and use in the United States. Med-Stop makes no representation that the Services or materials available through the Services are appropriate or available for use in other locations.
If you access the Services from outside the United States, you do so on your own initiative and are responsible for compliance with applicable local laws.
Notices to Med-Stop must be in writing and sent to Med-Stop Inc. at the address listed on the Med-Stop website or in your applicable written agreement. Med-Stop may provide notices to you through the Med-Stop App, by email, by fax, by website posting, by support message, or by other reasonable means using the contact information associated with your account.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect. An enforceable provision will be substituted to reflect the original intent as closely as possible.
Med-Stop's failure to enforce any provision of these Terms does not waive Med-Stop's right to enforce that provision or any other provision in the future.
You may not assign or transfer these Terms or your rights or obligations under these Terms without Med-Stop's prior written consent. Med-Stop may assign these Terms or its rights and obligations to an affiliate, subsidiary, successor, or purchaser of assets or business related to the Services.
These Terms, together with the Med-Stop Privacy Policy and any applicable written agreement, service order, employer agreement, pricing terms, HIPAA or privacy document, or incorporated policy, constitute the agreement between you and Med-Stop regarding your use of the Services.
